Purchase Terms

Please read this agreement to purchase a Credits subscription package from Interzoid.

1. Definitions, as used in this agreement:

"Interzoid" means Interzoid Inc, 201 Spear Street, Suite 1100, San Francisco, California 94105, United States of America. This also includes references to "We", "Our", or "Us" in the Purchase Agreement.

"Services" means individually, collectively, and in their entirety the Web site, APIs, applications, interfaces, infrastructure, algorithms, and data delivered through or as part of the Interzoid product offerings and technology.

A "Transaction" represents an invocation of an API existing on the Interzoid infrastructure, regardless if the call and response from the Services represents a desired result, including having no data as part of the response.

"Credits" refers to a specific number on the Interzoid accounting system correlating to the number of unused, purchased Transactions during a subscription period on the Interzoid Web site for use with the Services.

"You" or "Your" means collectively the purchaser or user of the Services, or if you are subscribing to, accessing and using the Services on behalf of an entity, you represent and warrant that you have the full right, power, and authority to bind that entity to this Purchase Agreement, and by accepting the terms of this Purchase Agreement, you are doing so on behalf of that entity, and all references to "You" or "Your" in the Purchase Agreement mean that entity. If you are not of legal age to form a binding contract with Interzoid, you may not purchase Credits.

"Purchase Agreement" means this agreement by and between Interzoid and You that governs the purchase and use of Credits with the Services.

"Terms of Service" means the then current Terms of Service, either agreed upon at registration by You when signing up for Interzoid and receiving your initial license key, or the current Terms of Service as published on the Interzoid Web site, whichever has the later effective date.

2. Agreement

This Purchase Agreement for a monthly subscription of Credits, as sold by Interzoid for use with the Services is made and entered into by and between Interzoid Inc. ("Interzoid") and you, the customer ("You" and also "Your"). This agreement governs Your use of credits with Interzoid and the Interzoid APIs.

3. Effective Date

The Effective Date of this Purchase Agreement is the date on which the Credits are subscribed to on the Interzoid Web site.

4. Payment

You shall pay Interzoid a non-refundable monthly subscription fee for the purchase of a certain number of Credits which shall renew monthly or annually. This fee is exclusive of all applicable sales taxes for which You are responsible for, including all local, state, provincial, or national sales taxes. Upon successful purchase of the subscription of Credits, they will appear in your Interzoid account ready for use.

5. Provision of Purchased Services

Interzoid will (a) make the Services available to You pursuant to this Purchase Agreement, (b) provide applicable Interzoid standard support for the Services to You at no additional charge, (c) use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which Interzoid shall give advance electronic notice), and (ii) any unavailability caused by circumstances beyond Interzoid's reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, Internet service provider failure or delay, Amazon AWS outage, or denial of service attack, and (d) provide the Services in accordance with laws and government regulations applicable to Interzoid’s provision of its Services to its customers generally (i.e., without regard for Your particular use of the Services), and subject to Your use of the Services in accordance with this Agreement.

6. Use of Services

You agree that your use of the Services are governed and bound by the current Terms of Service on the Interzoid Web site.

7. Overage for Additional API calls

You agree that if you use more API credits than your monthly or annual subscription allotment within the subscription period, you will be charged the extra "per additional API call" amount with your credit card on file (or other payment mechanism) at the end of your subscription period, or in increments of $500 USD if the overage amount reaches the $500 USD threshold.

8. Governing Law

This Purchase Agreement will be governed by and interpreted according to the laws of the State of California without regard to conflicts of laws and principles that would cause laws of another jurisdiction to apply. Any legal suit, action or proceeding arising out of or related to this Purchase Agreement shall be instituted in either the state or federal courts of San Francisco, California, and You and We each consent to the personal jurisdiction of these courts.

9. Term

The term of this Purchase Agreement is indefinite, and each section will survive the cancellation of Your subscription. This Purchase Agreement is assignable and survives any acquisition or change in entity control of either Interzoid or You.

10. Interzoid Cancellation

Interzoid reserves the right in its sole discretion, whether from breach, misuse, or for any reason whatsoever, to cancel and refund any remaining, unused credits to You and provide the corresponding proportionate monetary refund. Each section of this agreement will survive such cancellation.

11. Notices

Any notices or communications under this Purchase Agreement shall be by electronic mail or in writing and deemed delivered upon receipt to the party to whom such communication is directed. If to Interzoid, such notices shall be delivered to the email address legal@interzoid.com or in writing to the current physical address available on the Interzoid public Web site. You agree to provide accurate, current contact information to Interzoid and ensure that Interzoid is notified of any changes to Your electronic mail address or physical address.
