These Terms of Purchase govern paid Interzoid subscriptions, API credits, credit packages, usage-based services, and other paid offerings.
These Terms of Purchase ("Purchase Terms") are a legal agreement between Interzoid Inc. ("Interzoid," "we," "our," or "us") and you or the entity you represent ("you" or "your"). By purchasing a subscription, credits package, usage-based service, or other paid offering from Interzoid, you agree to these Purchase Terms.
If you are purchasing on behalf of an organization, you represent that you have authority to bind that organization to these Purchase Terms.
These Purchase Terms govern your purchase of paid Interzoid subscriptions, API credits, credit packages, usage-based services, and other paid offerings. Your access to and use of Interzoid's websites, accounts, APIs, applications, data quality tools, enrichment services, integrations, documentation, and related services remains subject to Interzoid's Terms of Use.
By purchasing a subscription, credits package, or other paid offering, you agree to these Purchase Terms and the Terms of Use. If there is a conflict between these Purchase Terms and the Terms of Use, these Purchase Terms will control only with respect to payment, billing, credits, renewal, overage, cancellation, taxes, refunds, and other purchase-specific matters.
"Services" means Interzoid websites, accounts, APIs, software applications, browser-based tools, batch processing tools, interactive applications, data matching services, data quality services, enrichment services, validation services, standardization services, reports, documentation, integrations, infrastructure, algorithms, interfaces, and related technology made available by Interzoid.
"Credits" means units made available in an Interzoid account for use with eligible paid Services, products, APIs, applications, integrations, and other billable Interzoid offerings.
"Subscription" means a monthly, annual, or other recurring paid plan that provides access to Credits, Services, usage rights, or other paid benefits during the applicable subscription period.
"Service Request" means an API request, product request, batch request, enrichment request, integration request, or other billable use of the Services.
Interzoid uses a credits-based system for access to paid Services. Credits may be used across eligible Interzoid products, APIs, applications, integrations, and services, subject to the applicable credit cost, usage rules, technical limits, and product availability at the time of use.
A credit or transaction may be consumed when a Service Request is submitted, regardless of whether the response contains a match, enrichment result, desired result, no result, error caused by user input, or other response.
Different Services may require different numbers of credits per request. Interzoid may update credit costs, eligible Services, product availability, usage limits, and related credit rules from time to time. Changes will apply prospectively unless otherwise stated.
You agree to pay all fees, subscription charges, usage charges, overage charges, taxes, and other amounts associated with your purchase and use of paid Services. Fees are due at the time of purchase, renewal, or usage, as applicable.
Except as expressly stated in these Purchase Terms or required by applicable law, all fees, subscription charges, credits, credit packages, usage charges, and overage charges are non-refundable.
You authorize Interzoid and its payment processors to charge your selected payment method for all applicable fees, subscription renewals, overage charges, usage charges, taxes, and other amounts due.
Fees are exclusive of taxes unless expressly stated otherwise. You are responsible for all applicable sales, use, value-added, goods and services, withholding, and similar taxes, duties, levies, or governmental assessments, except for taxes based on Interzoid's income. Interzoid may collect taxes where required or permitted by law.
Paid subscriptions renew automatically on the applicable monthly, annual, or other subscription renewal date unless cancelled before the renewal date. By purchasing a subscription, you authorize Interzoid to charge your payment method on a recurring basis for the applicable subscription fees, overage charges, taxes, and other amounts due.
You are responsible for cancelling a subscription before renewal if you do not want the subscription to renew. Cancellation will stop future renewal charges but will not entitle you to a refund of fees already paid, except as required by law or expressly agreed by Interzoid in writing.
If your use of the Services exceeds the credits, usage limits, or subscription allotment included in your plan, you agree to pay the applicable overage or additional usage charges. Interzoid may charge overages at the end of the subscription period, during the subscription period, when usage reaches applicable billing thresholds, or as otherwise described on the Interzoid website or in your account.
Interzoid may suspend, limit, or restrict access to paid Services if payment fails, if overage amounts are not paid, if credit limits are exceeded, if usage creates operational or security risk, or if Interzoid reasonably believes the Services are being misused.
Credits are available only during the applicable subscription period or credit validity period stated at the time of purchase. Unless Interzoid expressly states otherwise, unused monthly credits expire at the end of the monthly subscription period and do not roll over.
Annual subscription credits are available during the applicable annual subscription period unless otherwise stated at the time of purchase. Unused credits have no cash value, are not redeemable for cash, and are not transferable.
Interzoid may modify, update, replace, suspend, or discontinue products, APIs, integrations, data sources, third-party providers, credit costs, features, or functionality from time to time. Interzoid will make commercially reasonable efforts to avoid material disruption to paid Services, but does not guarantee that any particular product, API, data source, integration, or feature will remain available indefinitely.
Interzoid will use commercially reasonable efforts to make paid Services available and to provide standard support for paid Services. Interzoid does not guarantee uninterrupted, error-free, or continuous availability of the Services, and availability may be affected by maintenance, upgrades, security issues, third-party providers, cloud providers, customer systems, data sources, integrations, network conditions, force majeure events, or other circumstances beyond Interzoid's reasonable control.
If a payment method is declined, payment is not received, or amounts remain unpaid, Interzoid may suspend, limit, or terminate access to paid Services, downgrade account access, withhold additional credits, or require payment before restoring access. You remain responsible for all amounts incurred before suspension or termination.
You may cancel your subscription in accordance with the cancellation process made available by Interzoid. Cancellation stops future renewals but does not automatically refund fees already paid or unused credits.
Interzoid may cancel, suspend, or terminate a subscription or paid access if you violate these Purchase Terms, the Terms of Use, applicable law, usage limits, payment obligations, or if your use creates security, legal, operational, or reputational risk.
If Interzoid terminates paid Services for convenience and not due to your breach, misuse, non-payment, or violation of applicable terms, Interzoid may provide a prorated refund for unused prepaid credits or unused prepaid subscription amounts, as determined by Interzoid in good faith.
Paid Services may be purchased, accessed, or used through third-party platforms, marketplaces, cloud providers, data platforms, data warehouses, workflow tools, and other third-party services. Your use of those third-party services may be subject to their own terms, payment rules, privacy policies, usage limits, permissions, and technical requirements.
Interzoid is not responsible for charges, fees, outages, configuration issues, permission settings, security controls, data movement, service changes, or other acts or omissions of third-party platforms or providers outside Interzoid's control.
EXCEPT AS EXPRESSLY STATED IN THESE PURCHASE TERMS, THE PAID SERVICES, CREDITS, SERVICE OUTPUTS, THIRD-PARTY DATA, AI-GENERATED DATA, INTEGRATIONS, DOCUMENTATION, AND RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERZOID DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, AVAILABILITY, SECURITY, ERROR-FREE OPERATION, AND THAT THE SERVICES OR SERVICE OUTPUTS WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERZOID WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR RELIANCE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COSTS OF SUBSTITUTE SERVICES, OR DAMAGES ARISING FROM OR RELATING TO DATA ERRORS, DATA INACCURACIES, THIRD-PARTY DATA, AI-GENERATED DATA, THIRD-PARTY SERVICES, THIRD-PARTY INTEGRATIONS, SERVICE OUTPUTS, CREDITS, OVERAGES, SUBSCRIPTION CHANGES, PRODUCT CHANGES, OR YOUR USE OF OR RELIANCE ON THE SERVICES, EVEN IF INTERZOID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERZOID'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE PURCHASE TERMS, THE TERMS OF USE, THE SERVICES, SERVICE OUTPUTS, THIRD-PARTY DATA, AI-GENERATED DATA, INTEGRATIONS, CREDITS, SUBSCRIPTIONS, OR YOUR USE OF OR RELIANCE ON THE SERVICES, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, WILL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO INTERZOID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
These Purchase Terms will be governed by and interpreted according to the laws of the State of California, without regard to conflicts of laws principles that would cause the laws of another jurisdiction to apply. Any legal suit, action, or proceeding arising out of or related to these Purchase Terms shall be instituted in the state or federal courts located in San Francisco, California, and you and Interzoid each consent to the personal jurisdiction of those courts.
These Purchase Terms apply while you have a paid subscription, credits, paid access, or outstanding payment obligation. Sections that by their nature should survive termination will survive, including sections relating to payment obligations, taxes, credits, refunds, disclaimers, limitations of liability, governing law, and notices.
Any notices or communications under these Purchase Terms shall be by electronic mail or in writing and deemed delivered upon receipt to the party to whom such communication is directed. Notices to Interzoid shall be delivered to legal@interzoid.com or to the current physical address available on the Interzoid public website. You agree to provide accurate, current contact information to Interzoid and to notify Interzoid of any changes to your email address or physical address.
Interzoid may update these Purchase Terms from time to time. The updated Purchase Terms will be posted on the Interzoid website with an updated effective date. Changes will apply prospectively unless otherwise stated or required by law. Your continued paid use of the Services after the effective date means you accept the updated Purchase Terms.
